Digital River Sets Date and Time for Fourth Quarter and Full Year 2005 Financial Results

Completes acquisition of Commerce5

MINNEAPOLIS, January 5, 2006 -- Digital River, Inc. (NASDAQ:DRIV), a global leader in e-commerce outsourcing, announced today that it plans to release financial results for its fiscal fourth quarter and full year 2005 after the close of regular market trading on Wednesday, February 1, 2006. The company will host a conference call at 4:45 p.m. Eastern Standard Time (EST) on February 1, 2006, to discuss its fourth quarter and full year results. The company also plans to give guidance for the first quarter and full year of 2006. The call will feature remarks by Joel Ronning, chief executive officer, and Tom Donnelly, chief financial officer.

Digital River also announced it has completed the previously announced acquisition of Commerce5, Inc., a leader in enterprise class outsourced e-commerce solutions for high-tech manufacturing and consumer electronics markets. In accordance with the terms of the acquisition agreement announced on December 1, 2005, Digital River paid $45 million in cash for Commerce5. This was composed of payments to stockholders of $32.4 million plus payment of $12.6 million in liabilities. Commerce5 is now a wholly-owned subsidiary of Digital River. Digital River intends to discuss the transaction during its upcoming earnings conference call.
